American Lithium Adds Further Concessions Close to Its Existing Projects in Southern Peru – Investing News Network

American Lithium Corp. ("American Lithium" or the Company") (TSX-V: LI, OTCQB: LIACF, Frankfurt: 5LA1) is pleased to confirm that it has signed an agreement to acquire additional concessions in Southern Peru. In addition, it has entered into agreements relating to public relations and marketing activities.
Acquisition of Concessions in Southern Peru
The Company, through its Peruvian subsidiary, Macusani Yellowcake S.A.C., has entered into a mining rights transfer agreement (the " Transfer Agreement ") with an arms-length third-party, pursuant to which it will acquire the rights to a series of mining concessions (the " Concessions ") covering approximately 14,243 hectares in Southern Peru. The Concessions are highly prospective and will further broaden the Company's existing asset base and operations in Peru.
In consideration for the Concessions, the Company has agreed to pay US$400,000 and to issue 2,250,000 common shares (the " Consideration Shares ") to the vendor. Completion of the transaction contemplated by the Transfer Agreement remains subject to completion of applicable transfer registrations in Peru and the approval of the TSX Venture Exchange. All Consideration Shares issued to the vendor will be subject to restrictions on resale for a period of four-months-and-one-day in accordance with applicable securities laws.

Public Relations Update
The Company has retained the services of New York-based Vorticom Inc. (" Vorticom ") to perform high-impact Public Relations services in the United States. Vorticom is a New York-based, award-winning public relations firm that specializes in generating strategic media placements for its corporate clients.
The agreement entered into with Vorticom is effective as of June 01, 2022, (the " Vorticom Agreement ") and Vorticom will receive consideration of US$10,000 per month for a 12-month term. The Company has also agreed to grant 100,000 incentive stock options (the " Options ") to Vorticom, which have a term of 5 years and are exercisable at a price of $2.74 per common share. The Options will vest over a period of 12 months, with 25% of such Options vesting every quarter following their issuance, beginning three months from the date hereof.
The Vorticom Agreement is subject to the approval of the TSX Venture Exchange.
Marketing Update
American Lithium has also engaged Ptolemy Capital Limited ("Ptolemy"), trading as Crux Investor (" Crux "), to provide content creation, distribution and dissemination services to the Company, as defined in accordance with the policies of the TSX Venture exchange and applicable securities laws.
Pursuant to the agreement entered into with Crux, which is effective as of June 01, 2022 (the " Crux Agreement "), Crux will receive consideration of US$3,650/month, payable quarterly in advance, for an initial 3-month term which may be extended for additional 3-month periods.
Crux, a company based in London, United Kingdom, provides content distribution via videos, podcasts, social media and written articles. This includes dissemination and syndication across private and public investor platforms and services. To the best of American Lithium's knowledge, neither Ptolemy, Crux, nor any of its principals hold any securities of American Lithium.
The Crux Agreement is subject to the approval of the TSX Venture Exchange.

Cautionary Note Regarding Macusani Concessions
Thirty-two of the 151 concessions held by American Lithium's subsidiary Macusani, are currently subject to Administrative and Judicial processes (together, the "Processes") in Peru to overturn resolutions issued by INGEMMET and the Mining Council of MINEM in February 2019 and July 2019, respectively, which declared Macusani's title to 32 of the concessions invalid due to late receipt of the annual validity payments. In November 2019, Macusani applied for injunctive relief on 32 concessions in a Court in Lima, Peru and was successful in obtaining such an injunction on 17 of the concessions including three of the four concessions included in the Macusani Uranium Project PEA. The grant of the Precautionary Measure (Medida Cautelar) has restored the title, rights and validity of those 17 concessions to Macusani until a final decision is obtained at the last stage of the judicial process. A Precautionary Measure application was made at the same time for the remaining 15 concessions and was ultimately granted by a Court in Lima, Peru on March 2, 2021 which has also restored the title, rights and validity of those 15 remaining concessions to Macusani, with the result being that all 32 concessions are now protected by Precautionary Measure (Medida Cautelar) until a final decision on this matter is obtained at the last stage of the judicial process. The favourable judge's ruling confirming Macusani's title to all 32 concessions from November 3, 2021 represents the final stage of the current judicial process. However, this ruling has been appealed by MINEM and INGEMMET. American Lithium has no assurance that the outcome of these appeals will be in the Company's favour.

In March 2021, the U.S. Department of Energy Advanced Manufacturing Office selected American Lithium as a co-recipient of a grant funding 50 percent of the capital cost for a US$4.5 million lithium extraction hydroxide pilot plant.
This grant provides funding to complete field demonstration of selective leaching, purification and electrochemical production of battery-grade lithium hydroxide precursors from US claystone deposits like the TLC project. This announcement further legitimizes American Lithium as a major player in tackling the US’ domestic lithium supply problem.

Completion of the Arrangement
Under the terms of the Arrangement, among other things, each holder of Plateau Shares is entitled to receive 0.29 of a common share of American Lithium (each whole share an " American Lithium Share ") and 0.145 of a common share purchase warrant of American Lithium (each whole warrant an " Exchange Warrant ") for each Plateau Share held immediately prior to Effective Time (the " Exchange Ratio "). Each whole Exchange Warrant will entitle the holder to acquire one American Lithium Share at a price of $3.00 until May 11, 2024. American Lithium will use commercially reasonable efforts to list the Exchange Warrants as soon as practicable following closing of the Transaction.
Each existing Plateau Share purchase warrant will, upon the exercise thereof on or after the Effective Time in accordance with its terms, entitle the holder to acquire 0.29 of an American Lithium Share and 0.145 of an Exchange Warrant for each Plateau Share the warrant holder would have been entitled to acquire prior to the closing of the Arrangement. Existing Plateau stock options will be exchanged for an option to acquire from American Lithium the number of American Lithium Shares equal to the product of: (A) the number of Plateau Shares subject to such Plateau stock option immediately prior to the effective date of the Arrangement, multiplied by (B) 0.29 of an American Lithium Share for each Plateau Share. Each restricted share unit and deferred share unit of Plateau vested immediately prior to the Effective Time and was exchanged for one Plateau Share, and the holders thereof participated in the Arrangement as Plateau shareholders. Pursuant to the Arrangement, American Lithium acquired 127,213,511 Plateau Shares, representing 100% of the outstanding Plateau Shares.
American Lithium intends to delist the Plateau Shares from the TSX Venture Exchange as soon as practicable. American Lithium also intends to cause Plateau to apply to the relevant securities regulators for Plateau to cease to be a reporting issuer.
In connection with the Arrangement, Plateau issued to Bedrock Capital Corporation a finder's fee equal to $600,625 payable in cash and 2,666,666 Plateau Shares and the Company issued to Axemen Resource Capital Ltd. (" Axemen ") a finder's fee equal to $200,000 payable in cash and 867,882 American Lithium Shares.  The American Lithium Shares issued to Axemen will be subject to a four month hold from the applicable date of issuance. The finder's fees are subject to the final approval of the TSX Venture Exchange.
Go Forward Management / Board of Directors
As recently announced, Simon Clarke will be the Chief Executive Officer and a director of the Company going forward. Andrew Bowering will move from his current role as Chief Financial Officer and director to be Chairman of the Company. Michael Kobler will step down from the board of directors of American Lithium but will remain with the Company as General Manager of the US Operations. G.A.(Ben) Binninger remains an independent director and Graham Ballachey remains as VP Engineering.
From the Plateau side, Dr. Laurence Stefan will join the Company as President, Chief Operating Officer and director. Philip Gibbs will become the Chief Financial Officer and Ted O'Connor will join the board of directors and will also be Technical Advisor and Qualified Person for the Company's projects.
Dr. Stefan, the founder of Plateau Energy Metals (formerly Macusani Yellowcake) has over 30 years of experience in the mining industry (exploration, development, mining, processing and marketing), serving as Managing Director in Peru since 2007. Dr. Stefan previously worked at Gold Fields of South Africa and JCI (Pty) Ltd. where he was involved in the beneficiation of a wide variety of solid metal/non-metal commodities. He has vast experience covering over 100 projects on 6 continents and led the discovery team for the Falchani lithium project.
Philip Gibbs, the current Chief Financial Officer of Plateau , has extensive experience with listed mining and mineral exploration companies operating in Africa and South America. Mr. Gibbs also serves as Chief Financial Officer of Cobalt BlockChain Inc. and Asante Gold Corporation.
Ted O'Connor, P.Geo, MSc. is a professional geoscientist with over 30 years of experience in the exploration industry and has been involved with Macusani Yellowcake and Plateau since shortly after inception. Previously, as Director of Corporate Development for Cameco, Ted was responsible for evaluating, directing and exploring for uranium deposits worldwide. He has successfully led new project generation from early exploration through discovery on multiple uranium projects and was also part of the discovery team for the Falchani project.

In order to receive the American Lithium Shares and Exchange Warrants in exchange for Plateau Shares, Plateau shareholders who hold their Plateau Shares in physical certificates or DRS Statements, must complete, sign, date and return the letter of transmittal that was mailed to each Plateau shareholder with the meeting materials in April 2021. The letter of transmittal is also available under Plateau's profile on SEDAR at www.sedar.com. Plateau Shares held in a trading account will update automatically to reflect the receipt of the American Lithium Shares and the Exchange Warrants, generally within two weeks of the Effective Date. For those shareholders of Plateau whose Plateau Shares are registered in the name of a broker, investment dealer, bank, trust company, trust or other intermediary or nominee, they should contact such nominee for assistance in depositing their Plateau Shares and should follow the instructions of such intermediary or nominee.

Cautionary Note Regarding Plateau Concessions
Thirty-two of Plateau's 151 concession are currently subject to Administrative and Judicial processes (together, the "Processes") in Peru to overturn resolutions issued by INGEMMET and the Mining Council of MINEM in February 2019 and July 2019, respectively, which declared Macusani's title to the 32 of the concessions invalid due to late receipt of the annual validity payment. LithiumBank Resources Corp. The Sturgeon Lake oil and gas field, where Boardwalk's contiguous 794,509 acres land position overlays, was first discovered in 1952. Since then, various petroleum companies have developed a strong foundation of social and physical infrastructure in the area. This history of continuous hydrocarbon extraction resulted in an established well trained labor force, networks of all-weather gravel roads, drill sites that can be accessed from Provincial highways, and electrical transmission lines that run through and adjacent to the project (see Figure 1).

LithiumBank has used a wealth of historical oil and gas drilling and seismic data in completing a maiden NI 43-101 Inferred Mineral Resource Estimate dated May 18, 2021. Over 550 oil & gas wells have been previous drilled into the Leduc formation on the Company's Boardwalk project by previous and current petro-operators, 65 of which have been historically sampled for Leduc formation brine between 2010-2019 (Figure 1). These historical brine sampling programs show that the lithium content in the Leduc Formation aquifer is homogeneous with respect to lithium content over the investigated reservoir portions of the ~50 km long reef complex.
A 3-D closed solid polygon wireframe of the Leduc Formation aquifer domain was used to calculate the volume of the Leduc Formation rock, or the aquifer volume. The aquifer volume underlying the Boardwalk project, summarized as the total Leduc Formation domain aquifer volume, is of 321.99 km 3 .
The brine volume is calculated for the Leduc Formation aquifer domain, or resource area, by multiplying the aquifer volume times the average porosity times the percentage of brine assumed within the pore space. Using an average porosity value of 5.3% and the average modal abundance of brine in the Leduc formation pore space percentage of 98%, the Leduc Formation aquifer domain brine volume is over 16,720,000,000 cubic meters (16.72 km 3 ).
An average Leduc Formation aquifer brine lithium concentration of 67.1 mg/L Li was selected for the resource estimation calculation. This value was determined from a lithium assay database of 61 ICP-OES analyses. The Li-brine resource was estimated using a cut-off grade of 50 mg/L lithium.
The Boardwalk Leduc formation Li-brine inferred resource is globally estimated at 1,122,000 tonnes of elemental Li at an average lithium concentration of 67.1 mg/L Li in 16.7 km 3 of formation brine volume (Table 1). The global (total) lithium carbonate equivalent (LCE) for the inferred mineral resource is 5,973,000 tonnes LCE at an average grade of 67.1 mg/L Li.
Mineral resources are not mineral reserves and do not have demonstrated economic viability. There is no guarantee that all or any part of the mineral resource will be converted into a mineral reserve. LithiumBank has retained Hatch Ltd. to provide expertise in reviewing and selecting a DLE technology. This review process is designed to sort through the many DLE providers and select the most effective providers to conduct DLE test work. LithiumBank is currently working with three DLE providers in parallel. Results of this test work will be implemented by Hatch into the Preliminary Economic Assessment scoping study that is currently underway and expected be completed in Q3 2022.

The Boardwalk Lithium Brine Project consists of 28 Alberta Metallic and Industrial Mineral ("MIM") permits. Since the effective date of the NI 43-101, LithiumBank has acquired addition MIM permits contiguous to the Boardwalk Project for exploration proposes into other, potentially favourable carbonate reef formations for a current total of 40 MIM permits covering an area of 794,509 acres.
Furthermore, LithiumBank formed a brine access agreement with the major petro-operator in control of the Sturgeon Lake South and Sturgeon Lake North oilfields on May 14, 2021. The agreement permits LithiumBank to obtain brine from the existing oil and gas infrastructure for the purpose of exploration work (i.e., assaying, and mineral processing test work).
Since the technical report, LithiumBank has collected four 20 m 3 brine samples (80 m 3 total) of Leduc Formation brine from selected wells in the south Sturgeon Lake oilfield (Figure 1). Brine sample results will increase the sample density within the known resource area providing greater confidence when preparing a future resource estimate. The four samples are currently undergoing a rigorous quality control and quality assurance (QA/QC) program as part of due diligence. Results will be reported as they are available. Portions of these brine samples are also being tested with various third-party Direct Lithium Extraction (DLE) companies.

Argentina Lithium & Energy Corp. (TSXV: LIT) (FSE: OAY3) (OTC: PNXLF) ("Argentina Lithium" or the "Company") announces the commencement of exploration drilling at its Rincon West lithium project in Salta Province Argentina . Five exploration holes are initially planned to test multiple prospective brine targets identified from the geophysical survey data announced in the News Release dated May 2, 2022 . This drill program is expected to require four months to complete.

The Rincon West project covers 2470 hectares of the salar basin, located west of the adjacent Rincon Project owned by Rio Tinto. Previously announced geophysics results delineated highly conductive units consistent with concentrated brine aquifers over 64% of the property area. On May 27 , the first of five exploration holes was initiated to test the geophysical targets. Two thousand metres of diamond drilling is budgeted for this initial campaign. The Company's drilling permit allows up to nine exploration holes, thus the scope of the program may be expanded based on results.

In this initial campaign, we are looking for high lithium grades and horizons that can produce high flow rates for a potential future production operation. The initial exploration holes have been located on the geophysics traverses in order to allow extrapolation of drill results more broadly across the geophysics coverage. The drilling contract has been awarded to AGV Falcon S.R.L, an experienced drilling contractor with offices in Salta Province , Argentina . Brine samples will be analyzed by Alex Stewart Assayers Argentina S.A., a subsidiary of Alex Stewart International. The quality of sample analytical results will be assessed with a protocol of blank, duplicate and control samples to be included in each sample suite.
Argentina Lithium has an option to earn a 100% interest in the Rincon West project, as described in the Company's September 28, 2021 News Release.
David Terry , Ph.D., P.Geo. is the Company's Qualified Person as defined in National Instrument 43-101. Dr. Terry is responsible for oversight of the Company's early-stage exploration at the Rincon West property.  The disclosure in this news release has been reviewed and approved by Dr. Terry.

(TSXV:CUSN) (AIM:CUSN) to acquire a 1% Net Smelter Royalty (the "1% NSR") on mining claims comprising core strategic tenure at the Sleitat Mountain Tin-Silver deposit in Southwestern Alaska (the "Sleitat Project" or "Sleitat
The Sleitat Project was originally discovered by Cominco American Inc. in 1983 and is comprised of claims totalling 1,425 hectares. The greisen bodies which host the mineralization at Sleitat are divided into a north and a south zone. The north zone has been investigated by a total of 14 holes in three drill campaigns and has demonstrated that the tin mineralization is shallow thus potentially amenable to open pit mining. The north zone is open laterally and at depth while the south greisen remains completely untested to date.
The Company has issued 1,000,000 common shares of the Company ("Consideration Shares") and made a cash payment of $100,000. The Consideration Shares will be subject to a voluntary lock-up agreement which provides that 50% of the Consideration Shares will be subject to a hold period of 6 months and 50% of the Considerations Shares being subject to a hold period of 12 months.
